This Terms of Use Agreement (the “Agreement” or “Terms”) constitutes a legally binding contract between you and Yum Yum Donut Shops, Inc. governing your access to and use of the website located at www.yumyumdonuts.com (the “Site”), including all content, services, features, and functionality offered on or through the Site. We have made every effort to present these Terms in plain, clear language so that you can understand your rights and obligations when using our Site.

Important: By accessing or using our Site, you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety. If you do not agree with any part of these Terms, we respectfully ask that you do not access or use our Site or provide us with any personal information.

This Agreement includes, by reference, all other operating rules, policies, and procedures that may be published from time to time on the Site by Yum Yum Donuts, including but not limited to our Privacy Policy and our Accessibility Statement.

1. Definitions

To help you better understand this Agreement, the following terms are defined for use throughout this document:

“Agreement” refers collectively to all the terms, conditions, and notices contained or referenced in this document (the “Terms of Use” or the “Terms”), as well as all other operating rules, policies, and procedures that may be published on the Site, including but not limited to the Yum Yum Donuts Privacy Policy, available at yumyumdonuts.com/privacy-policy.
“Site” refers to the Yum Yum Donuts website located at www.yumyumdonuts.com, and all content, services, features, and products provided by Yum Yum Donuts at or through the Site.

You are solely responsible for ensuring that your use of the Site is lawful and in compliance with all applicable regulations.

In connection with your use of the Site, you agree that you will not engage in any of the following prohibited activities:

Reproducing, duplicating, copying, selling, reselling, or exploiting any portion of the Site, any use of the Site, or any access to the Site without the express written permission of Yum Yum Donuts.

Using the Site for any illegal, fraudulent, or unauthorized purpose, or in furtherance of any illegal activity.
Interfering with or disrupting the integrity or performance of the Site or the data contained on it.
Removing, altering, or obscuring any copyright, trademark, or other proprietary rights notice displayed on or within the Site.

Yum Yum Donuts reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these provisions, including without limitation removing the offending content from the Site, suspending or terminating the account of such violators, and reporting them to the appropriate law enforcement authorities.

3. Intellectual Property Notice

Yum Yum Donuts, our licensors, vendors, agents, and content providers retain exclusive ownership of all intellectual property rights of any kind related to the Site, including but not limited to patents, copyrights, trademarks, trade secrets, and other proprietary rights. You should assume that everything you see, read, or otherwise interact with on the Site is proprietary information protected by copyright, trademark, or other intellectual property law unless otherwise explicitly noted, and it may not be used, reproduced, or distributed in any way without the prior written permission of Yum Yum Donuts. We reserve all rights that are not expressly granted to you under this Agreement or by law.

Copyright

The overall look and feel of the Site, including its layout, design, color schemes, visual elements, and arrangement of content, is the copyrighted property of Yum Yum Donut Shops, Inc. You may not duplicate, copy, reproduce, modify, or reuse any portion of the HTML, CSS, JavaScript, visual design elements, or creative concepts found on the Site without express written permission from Yum Yum Donuts. All original content on the Site, including but not limited to text, articles, photographs, illustrations, graphics, and software, is owned by or licensed to Yum Yum Donuts and is protected under United States and international copyright laws.

Trademarks

All trademarks, service marks, trade names, logos, and trade dress, whether registered or unregistered (collectively, the “Marks”), that appear on the Site are proprietary to Yum Yum Donut Shops, Inc. or to the respective owners of such Marks. You may not display, reproduce, or otherwise use any of the Marks without the prior written consent of Yum Yum Donuts or the applicable trademark owner. You may not remove or otherwise modify any trademark notices from any Content on the Site. The Marks are protected by trademark, trade dress, copyright, and various other intellectual property rights and unfair competition laws under both federal and state law.

Limited License

Subject to the terms of this Agreement, Yum Yum Donuts grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial use. This license does not include the right to collect or use any product listings, descriptions, or prices for commercial purposes; to make any derivative use of the Site or its Content; to download, copy, or otherwise exploit Content for any purpose other than personal, non-commercial viewing; or to use any data mining, robots, or similar data gathering and extraction tools. This license will automatically terminate if you violate any of these Terms.

4. User-Submitted Content

Certain areas of our Site may allow you to submit content, including but not limited to comments, feedback, suggestions, reviews, or other materials (collectively, “User Content”). By submitting User Content to the Site, you grant Yum Yum Donuts a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media format and through any media channel, whether now known or hereafter developed.

You represent and warrant that you own or otherwise control all rights to the User Content that you submit, that the User Content is accurate, that use of the User Content does not violate this Agreement and will not cause injury to any person or entity, and that you will indemnify Yum Yum Donuts for all claims resulting from any User Content you supply. Yum Yum Donuts has the right, but not the obligation, to monitor, edit, or remove any User Content at our sole discretion for any reason.

5. Communications with Yum Yum Donuts

We use email and other electronic means to stay in touch with our users and to provide you with important information about your interactions with the Site. For contractual purposes, by using our Site you consent to receive communications from us in an electronic form via the email address you have submitted or via the Site itself. You agree that all Terms of Use, agreements, notices, policies, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that those communications would satisfy if they were provided to you in written, paper form. This section does not affect your non-waivable rights under applicable law.

We may send you service-related announcements on occasions when it is necessary to do so. For instance, if our Site is temporarily suspended for maintenance, we may send you an email notification. You may not opt out of service-related communications, as they are not promotional in nature. If you have opted in to receive marketing or promotional communications from us, you may opt out at any time by contacting us at info@yumyumdonuts.com.

6. Termination and Suspension

Yum Yum Donuts reserves the right to suspend or terminate your access to all or any part of the Site at any time, with or without cause, with or without prior notice, effective immediately. Examples of conduct that may result in termination or suspension include, but are not limited to, violations of this Agreement, violations of applicable law, fraudulent or abusive activity, conduct that is harmful to other users or to Yum Yum Donuts, or conduct that could expose Yum Yum Donuts to legal liability. Yum Yum Donuts reserves the right to refuse service to anyone for any reason at any time.

All provisions of this Agreement that by their nature should survive termination will survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, limitations of liability, and dispute resolution provisions. Termination of your access to the Site does not relieve you of any obligations arising under this Agreement prior to such termination, nor does it limit any liability that you may have incurred as a result of your use of the Site.

7. Class Action Waiver and Dispute Resolution

CLASS ACTION WAIVER: BY ACCESSING OR USING THE SITE, YOU AND YUM YUM DONUTS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING.

Unless both you and Yum Yum Donuts agree in writing, no arbitrator or judge may consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding. The court may award injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide the relief warranted by that party’s individual claim.

Informal Resolution

Before filing any formal legal proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to this Agreement or your use of the Site (each, a “Dispute”) informally by contacting us at info@yumyumdonuts.com. We will attempt to resolve the Dispute informally by contacting you via email. If a Dispute is not resolved within thirty (30) days after submission, you or Yum Yum Donuts may pursue formal proceedings as described in the Miscellaneous section below.

8. Disclaimer of Warranties

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, YUM YUM DONUTS SPECIFICALLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, SECURITY, ACCURACY, AND NON-INFRINGEMENT.

Yum Yum Donuts does not warrant that the Site will meet your specific requirements; that the Site will be available on an uninterrupted, timely, secure, or error-free basis; that the results obtained from using the Site will be accurate or reliable; that the quality of any products, services, information, or other material obtained through the Site will meet your expectations; that any defects or errors on the Site will be corrected; that the Site will be available at any particular time or location; or that the Site is free of viruses, malware, or other harmful components. You assume full responsibility and risk of loss resulting from your use of the Site, including your downloading of files, information, content, or other material obtained from the Site.

We make no representations or warranties regarding the accuracy, completeness, or reliability of any content, information, or materials available on or through the Site. Any content accessed, downloaded, or otherwise obtained through the use of the Site is done at your own discretion and risk, and you will be solely responsible for any damage to your computer system or mobile device or loss of data that results from the download of any such content.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YUM YUM DONUTS, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOSS OF PROFITS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, OR FOR ANY INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, HOWEVER ARISING, THAT RESULT FROM:

Your use of or inability to use the Site;
Any modification, price change, suspension, or discontinuance of the Site;
Unauthorized access to or alterations of your transmissions or data;
Statements or conduct of any third party on the Site;
Any other user interactions that you input or receive through your use of the Site; or
Any other matter relating to the Site.

Our liability is limited whether or not we have been informed of the possibility of such damages, and even if a remedy set forth in this Agreement is found to have failed of its essential purpose. We will have no liability for any failure or delay due to matters beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, labor conditions, government actions, and internet disturbances. In no event shall the aggregate liability of Yum Yum Donuts arising out of or relating to this Agreement exceed the greater of one hundred dollars ($100.00) or the amount you paid Yum Yum Donuts, if any, in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Yum Yum Donut Shops, Inc., its affiliates, officers, directors, employees, consultants, agents, and representatives from and against any and all third-party claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorney fees and court costs) arising out of or in connection with your access to or use of the Site, your violation of any provision of this Agreement, your violation of any applicable law or regulation, your infringement of any intellectual property or other right of any person or entity, or any content or data you submit, post, or transmit through the Site.

Yum Yum Donuts will provide you with prompt written notice of any such claim, demand, loss, or liability, and will provide you with reasonable assistance, at your expense, in defending against any such claim. Yum Yum Donuts reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with Yum Yum Donuts in asserting any available defenses.

11. Third-Party Links and Content

The Site may contain links to websites, services, or resources operated by third parties that are not owned, controlled, or affiliated with Yum Yum Donuts. We may also display content from third-party sources on or through our Site. The inclusion of any link to or content from a third party does not imply endorsement, sponsorship, or recommendation by Yum Yum Donuts. We do not investigate, monitor, or check the accuracy, completeness, or reliability of any third-party websites or content, and we make no representations or warranties regarding the products, services, or content available through any third-party website.

You acknowledge that Yum Yum Donuts has not reviewed and does not endorse the content of all websites linked to from this Site and is not responsible for the content, actions, privacy practices, or terms of use of any third-party websites. We do not promise that the contents of any linked site are accurate, compliant with local, state, or federal law, including any intellectual property laws. 12. Changes to These Terms

When we make material changes to this Agreement—changes that affect your rights, obligations, or the scope of this Agreement—we will provide reasonable notice to our users. 13. Users Outside of the United States

Yum Yum Donuts is hosted and operated entirely within the United States of America and is subject exclusively to United States federal and state law. Our Site is designed for and directed at users located within the contiguous United States. We do not operate physical locations or offer services outside of the United States. If you access our Site from a location outside of the United States, you do so at your own risk and are solely responsible for compliance with the laws of your jurisdiction. If you are from a jurisdiction outside of the United States and we become aware of your location, we may take necessary action in accordance with applicable law, which may include terminating your access to the Site and deleting any personal information you have provided. 14. Miscellaneous Provisions

Governing Law and Jurisdiction

Except to the extent that applicable law provides otherwise, this Agreement between you and Yum Yum Donuts, and any access to or use of the Site, shall be governed by and construed in accordance with the federal laws of the United States of America and the laws of the State of California, without regard to conflict of law principles. You and Yum Yum Donuts each agree to submit to the exclusive personal jurisdiction and venue of the state and federal courts located in the City and County of Los Angeles, California, for the purpose of adjudicating any dispute arising out of or relating to this Agreement.

Section Headings and Summaries

Throughout this Agreement, each section includes titles and brief summaries of the terms and conditions that follow. These section titles and brief summaries are provided for convenience only and are not legally binding. In the event of any conflict between a section heading or summary and the full text of the corresponding section, the full text shall control.

Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties. The remaining provisions of this Agreement shall remain in full force and effect.

No Waiver

Any failure on the part of Yum Yum Donuts to enforce any provision of this Agreement shall not be considered a waiver of our right to enforce such provision in the future. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or of any other term, and Yum Yum Donuts’ failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.

Entire Agreement

This Agreement, together with the Privacy Policy and any other legal notices or policies published by Yum Yum Donuts on the Site, constitutes the entire agreement between you and Yum Yum Donuts concerning the Site and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.

Survival

All provisions of this Agreement that by their nature should survive termination shall survive termination, including but not limited to intellectual property provisions, warranty disclaimers, indemnification obligations, limitations of liability, and dispute resolution provisions. Our rights under this Agreement will survive any termination of this Agreement.

Assignment

You may not assign or transfer this Agreement, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer this Agreement without such consent will be null and void. Yum Yum Donuts may freely assign or transfer this Agreement without restriction. Subject to the foregoing, this Agreement will bind and inure to the benefit of the parties, their successors, and permitted assigns.
